Terms and conditions

These terms and conditions shall apply to all orders submitted through the website www.ts-italy.it  independently of the country where the purchase Is made and are integral part of all purchase orders. At order confirmation the customer approves these terms and conditions of sale. The terms of this contract shall supersede any additional, different or conflicting terms proposed by the customer. a) Seller: TSI Technology Solutions Italy S.r.l.s. professional who sells products and services to customers. b) Product/good: product or personalized product offered by the seller. c) Services: professional service offered by the seller to customers. d) Customer: consumer or entrepreneur. e) Purchase contract: any contract in which the seller transfers or undertakes to transfer ownership of a product to the customer who pays or undertakes to pay the price, including contracts concerning professional services. f) Distance sales: any contract stipulated between TSI Technology Solutions Italy S.r.l.s. and the customer for the sale of products or professional services without the physical an simultaneous presence of an TSI representative and the customer, with the exclusive use of remote communication media until the conclusion of the contract, including the sale contract. g) Durable medium: any medium that allows information to be addressed personally to the recipient enables the recipient to store the information in a way accessible for future reference for a period that is long enough for the purposes of the information, and allows the unchanged reproduction of the information stored. h) Working – day: any day of the week, excluded Saturday, Sunday, public holiday and festivities of the Italian calendar. i) Order: an irrevocable purchase proposal in accordance with art. 1326 and 1329 of Italian civil code, referred to the products or professional services in the customer’s cart. l) Warranty: any commitment of the seller, taken towards the customer, in addition to the requirements of law relating to the compliance certificate, to reimburse the price paid or to replace, repair the product if it does not meet the specifications, or any other requirements not related to conformity set out in the guarantee statement or in a relevant advertising available at contract time or before the conclusion of the contract.

Contract

At order confirmation, the customer will agree to an irrevocable contract. TSI Technology Solutions Italy S.r.l.s. reserves the right, in its sole discretion, to accept the order. The acceptance is automatic, unless otherwise communicated to the customer. In that case, the contract is concluded with delivery.

For customized products, prototypes and professional services, the customer must complete this form and send to TSI Technology Solutions Italy S.r.l.s. by Upload a detailed description and a technical drawing of the project in format file STL, STP, SLDPRT, DWG. TSI Technology Solutions Italy S.r.l.s. will send you an e-mail with a quotation in which you will find product description, cost and time of shipping and delivery. The customer confirms the order by signing the contract in attachment, and sending it by e-mail to TSI.

Prices

Retail prices indicated on the web site are not including VAT. Shipping and handling charges (if any) will apply in addition to the price indicated on the website. Prices are subject to change at any time but will not affect orders made prior to the date of change. For all orders submitted in European Union VAT will be calculated according to the VAT in effect in Italy in art. 7 DPR 633/72, in art. 41 D.L. 331/93 For all orders submitted outside European Union VAT will not be calculated in art. 8 D.P.R 633/72. The customer is responsible for any local sales taxes, or other taxes and government levies, if any, associated with the order.

Payments

All items must be paid at order confirmation. TSI Technology Solutions Italy S.r.l.s. will deliver or ship standard or personalized/customized products after receiving the payment. TSI Technology Solutions Italy S.r.l.s. accepts the following payment methods:

Deliveries

TSI Technology Solutions Italy S.r.l.s. reserves the right to choose the carrier .Delivery method mainly use by TSI Technology Solutions Italy S.r.l.s. is roadway transport. TSI Technology Solutions Italy S.r.l.s. will ship products within 2 working days after order confirmation and delivery time will never exceed 30 working days. The above delivery time refers to products in stock at the moment of the order. Shipping time of personalized products will depend on time needed for design and creation. TSI reserves the right to ship the items purchased only after receiving the full price payment. Shipping costs in Italy: €. 10,00 up to 30 kg for single box. Box dimension not exceeding 150 cm (total length + height + width / max. Length 100 cm). Upon request delivery is possible: a) At customer’s address general delivery. b) In stationary Post Office. c) Post box office. In this way customer can choose the post office where he would like to receive the products avoiding loss of time and additional costs. Shipment in Sardinia and Sicilia is subject to and additional cost of 1,20 EURO. In the cart shipping costs will be automatically calculated depending on products purchased. For shipments over 30 kg TSI Technology Solutions Italy S.r.l.s. will inform the customer of shipping cost; even in this case goods will be delivered within 30 days. Upon request shipment can be insured with a supplement of 1,2 %  of the cost of products purchased with a maximum coverage of €. 50.000,00. Delivery time for shipments in foreign countries may vary depending on destination, in any case delivery is guaranteed within 30 days. This delivery time refer to products in stock at the time of the order. In case any product is not available TSI Technology Solutions Italy S.r.l.s. will contact the customer as soon as possible by e-mail. For personalized products or professional services delivery time will depend on product design and creation or on the kind of service required. In any case TSI Technology Solutions Italy S.r.l.s. will send you a quotation in which you will find estimated delivery time. In case of payment by bank transfer delivery time is calculated from the full payment of the order. Customer can purchase products on the on line catalogue in the quantity available in stock. If an order should exceed  the available quantity , or should appear available  even if  it is no longer available for reasons of website updating, TSI Technology Solutions Italy S.r.l.s. will inform the customer about product availability in the next future and offering the customer different options: a) Exert the right of withdrawal and obtain the full refund of the order. b) Confirm the order with the quantity available in stock and obtain a partial refund for the unavailable products; c) Wait for availability of all products and for the order fulfillment.  All refunds will be made by bank transfer within 14 days after customer’s request. TSI Technology Solutions Italy S.r.l.s. will not be responsible for late or missed delivery in the following cases: a) TSI Technology Solutions Italy S.r.l.s. despite having promptly purchased and paid the items to cover the customer’s order, it have not been supplied with the terms and conditions agreed with the supplier. b) TSI Technology Solutions Italy S.r.l.s. is not able to make up for unavailability of products. c) TSI Technology Solutions Italy S.r.l.s. promptly informed the customer of product unavailability and of the right of withdrawal. In case of unavailability of a product TSI Technology Solutions Italy S.r.l.s. will refund the customer for any advanced payment with the terms in paragraph. TSI Technology Solutions Italy S.r.l.s. shall not be in the breach of the contract or otherwise be liable for any failure or delay to deliver the goods or supply the services arising from circumstances outside TSI Technology Solutions Italy S.r.l.s. reasonable control. Including but not limited to acts of God. Governmental actions or regulations, national emergencies , acts of terrorism, protests, riot, civil commotion, strikes, lock-outs, other labour disputes, accidents, war, fire, explosion, flood, epidemic, reduction in or unavailability of power at manufacturing plant, breakdown of plant or machinery, shortage or unavailability of raw materials from normal source of supply or restraints or delay affecting carries. TSI Technology Solutions Italy S.r.l.s. will inform the customer if a due of force majeure will occur. In case the due of force majeure will last longer than 4 four weeks, both of the parts will have the right to break the contract. In case of withdrawal the customer will not have any compensation or reimbursement except the refund for the price paid. In case of purchase made by a customer, the risk of fortuitous deterioration or loss is at the expense of TSI Technology Solutions Italy S.r.l.s. until the product is delivered whether the shipment is insured or not. In case of purchase made by a company, the risk of fortuitous deterioration or loss is at the expense of the company itself from when TSI Technology Solutions Italy S.r.l.s. put the shipment in the hands of the carrier. Property of products is transferred to the customer at delivery. Any claim about completeness or entirety of the shipment must be made at delivery TSI Technology Solutions Italy S.r.l.s. suggests to check the entirety of packages and the delivery note before accepting the delivery. No claims for thefts or entirety of packages will be accepted after delivery. Products will remain TSI Technology Solutions Italy S.r.l.s. is exclusive property until the full price of the item has been paid. In case the customer choses a carrier, the risk of fortuitous deterioration or loss is at the expense of the customer itself from when TSI Technology Solutions Italy S.r.l.s. put the shipment in the hands of the carrier.

Order Status

After order, submission the customer will receive an e-mail of order confirmation with the details of the purchase. After order, submission from a foreign country the customer will receive an e-mail of order confirmation with the details of the purchase and of the cost of shipment. After order acceptance by TSI the customer will receive an e-mail with an update of order status. After the shipment customer will receive expedition number by phone or by e-mail directly from SDA courier. With the expedition number customer will be able to track the shipment on the carrier’s website www.sda.it

Right of withdrawal

In accordance with Italian law art. 52 D.Lgs. 21 February 2014, n° 21, in implementing the Directive 2011/83/UE in this paragraph customer will find terms and condition to exert the right of withdrawal. Companies (purchasing with a VAT Registration number) cannot exert the right of withdrawal as product purchase is part of a professional activity, and right of withdrawal applies to private citizens only. In the following customer will find instruction to exert right of withdrawal. Customer have the right to break the contract within 14 working days without any justification and with no additional costs. This period of time shall take effect the day on which the customer or a third party authorized by the customer and other than the carrier accepts the shipment and takes physical possession of the goods: a) In case of submission of a single order with more than one item which will be delivered in separately this period of time shall take effect the day on which the customer or a third party authorized by the customer and other than the carrier accepts the shipment and takes physical possession of the last item. b) In case of delivery of a single product which is divided in batches this period of time, shall take effect the day on which the customer or a third party authorized by the customer and other than the carrier accepts the shipment and takes physical possession of the last batch.

Procedures for the right of withdrawal

The customer must inform TSI Technology Solutions Italy S.r.l.s. he wants to exert the right o withdrawal sending an e-mail or a registered mail to the following address:

The customer has effectively exert the right of withdrawal in accordance with in art. 52 D.Lgs. 21 February 2014, if the a written withdrawal statement has been sent within 14 days. TSI Technology Solutions Italy S.r.l.s. will reimburse the customer all payments except delivery cost, within 30 working days after receiving the withdrawal statement. TSI Technology Solutions Italy S.r.l.s. will reimburse the customer by bank transfer. TSI Technology Solutions Italy S.r.l.s. shall not pay additional costs in case the customer has opted for e a way of delivery other than the one offered by TSI. Unless TSI Technology Solutions Italy S.r.l.s. has offered to collect the goods itself, it may withhold the reimbursement until it has received the goods, or the customer can give evidence of shipment.

Obligations of the consumer in case of withdrawal

Unless TSI Technology Solutions Italy S.r.l.s. has offered to collect the goods, itself the customer must return goods to TSI or to a third party authorized by I TSI Technology Solutions Italy S.r.l.s. to receive the goods within 14 days after the withdrawal statement in accordance with in art. 52 D. Lgs. 21 February 2014. Term is respect if the customer ships the goods within 14 days. Shipment cost is on customer‘s charge. Customer is responsible for the diminished value of goods resulting from improper handling other than the one necessary to establish nature, characteristics and correct functioning of the goods. Customer is responsible for costs and risks associated with the return of goods. Items must be returned: a) In their entirety: the right of withdrawal does not apply partial order (accessories, detachable parts, etc…). b) Properly packed in their original packaging, in perfect conditions for resale (not ruined, damaged or soiled) and fitted with all their accessories, if any instructions of use and documentation. TSI Technology Solutions Italy S.r.l.s. recommends, when possible to put the original box in another box in order to limit damages to the original package. c) The use of labels or tape directly on the original package must be avoided original shipment note of the first delivery must be attached to enable TSI Technology Solutions Italy S.r.l.s. to quickly identify the customer (order number /name/address). d) Without evident signs of use, except those compatible with the operation of a normal test of the article. They must not bear trace of a prolonged use in excess of the time required for test(less than a few minutes) and should not be in a state that does not allow the resale. Only if all previous conditions are respected the customer will have the refund for the total amount of the purchase .If conditions are not respected the amount of the refund will be decreased as a consequence  of an improper handling of items other than the one necessary to test the right functioning of the product.

Warranty and claims maagement

Customer can contact TSI Technology Solutions Italy S.r.l.s. using contact information on TSI Technology Solutions Italy S.r.l.s. website. TSI Technology Solutions Italy S.r.l.s. will examine the request and answer as soon as possible. If the complaint concerns the guarantee of an item, TSI Technology Solutions Italy S.r.l.s. will firstly contact the manufacturer. For this reason, TSI Technology Solutions Italy S.r.l.s. might need more time to answer. To store order data and contact detail of the customer with the exclusive purpose to assure the correct execution of the order and if necessary to share data with trading partners involved in the management of payment, shipping and delivery. The storage an processing of data will be in accordance with provisions contained in” privacy policy”. Law and Jurisdiction The contract and any issues, disputes or claims arising out or in connection with it shall be governed by and constructed in accordance with Italian law except for disputes with customers residing within EU, this case is under the jurisdiction of the state court of the place of residence or domicile of the customer:

Technology Solutions Italy Srls undertakes to remedy any defects in the products attributable to it, occurring within 12 (twelve months from delivery of the products, provided that they have been promptly notified: a) any complaints related to the state of the packaging, quantity or external characteristics of the products (or other apparent defects), must be notified to TSI Technology Solutions Italy Srls in writing, under penalty of forfeiture, within 8 (eight) days from the date of receipt of the products; b) any complaints relating to defects not identifiable by diligent control at the time of receipt (hidden defects) must be notified to TSI Technology Solutions Italy Srls, under penalty of forfeiture, within 15 (fifteen) days from the date of discovery of the defect and in any case according to the legislative decree 2 February 2002 n.24. The complaint must specify precisely the defect found and the products to which it refers; c) in the case of delivery of products that do not comply with the order, the customer must notify TSI Technology Solutions Italy S.r.l.s. within 15 (fifteen) days from the date of receipt to agree the return. The customer can not return goods for any reason, unless prior written authorization from TSI Technology Solutions Italy S.r.l.s. The aforesaid warranty does not apply to products that show normal wear and tear, signs of tampering or improper use. The costs of transporting the products to be replaced or repaired and the replaced or repaired products are entirely at the customer's expense. In the presence of the aforementioned conditions, TSI Technology Solutions Italy S.r.l.s will replace or repair the product found to be defective free of charge.

Data protection

TSI Technology Solutions Italy S.r.l.s. reserves the right to keep the data of each order as well as the customer's contact details for the sole purpose of using them for the correct execution of the order (also through transmission to the commercial partners involved in the management of the payment, in the execution of the order and / or in the shipment of the article), of possible claims regarding the article warranty and / or of recommendations or instructions to the client concerning the article. The storage and processing of data will be in accordance with the content of the "Privacy Policy" issued by TSI Technology Solutions Italy S.r.l.s. Without prejudice to the foregoing, any use of the customer's personal data will be subject to the provisions contained in the aforementioned "Privacy Policy".

Jurisdiction

These general conditions of sale are written exclusively in Italian. For any legal controversy arising from the application, interpretation and / or execution of this contract, the Court of Power is exclusively competent, if not for disputes with consumers residing within the Member States of the European Union, for which the territorial jurisdiction is the judge of the place of residence or domicile of the consumer.

Modification of terms and conditions of contract

TSI Technology Solutions Italy S.r.l.s. will inform the Customer about changes to general conditions any change will became integral part of the contract and shall supersede and replace all documentation previously issued. TSI Technology Solutions Italy S.r.l.s. recommends to attach to the complaint a detailed description of the problem and a copy of documents clearly showing order number and customer number. If customer do not receive an answer within 5 (five) working days. Customer should contact TSI Technology Solutions Italy S.r.l.s. and solicit an answer.
